Payment terms:

Payment of the monthly quantity of the Goods shall be made by SWIFT MT-103 within one (1) day upon SGS quantity and quality inspection (DIP test) and presentation of the following documents:

1. Seller’s invoice (calculated on basis of the SGS quantity certificate)

2. SGS quantity certificate (issued upon DIP test)

3. SGS quality certificate (issued upon DIP test)

4. Certificate of Origin

The monthly payment of the Goods shall be secured by Standby Letter of Credit (SBLC), monthly issued in value of one (1) monthly delivery quantity.

Procedures:

1. Seller provides Buyer with LOI (done).

2. Buyer provides Seller with this ICPO and verifiable Bank Capability Letter (BCL), to confirm Buyer’s capability to pay for the monthly quantity of the Goods.

3. Seller prepares contract for signature and exchange. Upon signature, Buyer and Seller lodge contract copies with their banks.

4.Seller provides Buyer monthly with (1) Tank-Receipt, (2) Authority-to-Communicate with Tank Farm at Port Tianjin and (3) conditional DIP-Test-Authority (DTA) to dip the Tank. The conditional DTA becomes valid upon receipt of Buyer’s monthly SBLC.

5.Buyer verifies the Tank and submits monthly SBLC to Seller.

6.Seller, upon receipt of Buyer’s monthly SBLC, permits the Buyer to conduct the monthly DIP test.

7.Seller presents the monthly payment documents to Buyer and Buyer clears (empties) the Tank for import/export of the Goods.

8.Upon delivery of the first monthly quantity of 3,000,000 Barrels in March 2014, the next monthly delivery quantity of 3,000,000 Barrels shall follow in April 2014 beginning with step "3" of this procedure and every month until the contract has been completed and the total contract quantity of 36,000,000 Barrels has been delivered.

The Nigerian light crude oil shall comply with the official technical specifications of the Nigerian National Petroleum Corporation (NNPC), which are as follows:
